1. Introduction
Welcome to WorkChain.
These Terms and Conditions apply to the use of the website, mobile application and all services offered by WorkChain B.V.
By creating an account or using WorkChain, you declare that you have read these Terms and Conditions and agree to them.
If you do not agree to these terms, you cannot use the services of WorkChain.

3. Definitions
In these Terms and Conditions, the following terms have the following meanings:

| WorkChain | WorkChain B.V., established in IJsselstein. |
| Platform | The website, mobile application and all other services of WorkChain. |
| User | Any natural person who creates a WorkChain account or uses the services of WorkChain. |
| Client | A natural person or legal entity for whom a user performs work and who can be invoiced via WorkChain. |
| Account | The personal user account within WorkChain. |
| GEOS Academy | The digital learning environment in which users complete modules and take assessments. |
| GEOS certificate | The certificate issued by WorkChain after the applicable certification requirements have been met. |
| WorkChain Payments | The payment service through which users can receive payments via WorkChain. |
| Invoice | Any invoice created or sent via WorkChain. |
| Platform fee | The fee that WorkChain withholds from every successful payment processed via WorkChain. |
4. Applicability
These Terms and Conditions apply to all services of WorkChain.
Deviations from these terms are only valid if confirmed in writing by WorkChain.
If one or more provisions prove to be invalid, the remaining provisions remain in full force.
5. Account registration
To use WorkChain, a user must create a personal account.
By creating an account, the user declares that:
- he is at least 18 years old
- the information provided is accurate and complete
- he will keep the information up to date
- he is authorised to act on his own behalf
The user is responsible for keeping his login credentials confidential.
The user may not transfer his account to third parties without the prior written consent of WorkChain.
6. Use of WorkChain
WorkChain offers a platform through which self-employed professionals can, among other things:
- take the GEOS Academy
- obtain a GEOS certification
- manage clients
- create and send invoices
- receive payments via WorkChain Payments
- build their business file
WorkChain may expand, change or remove features when this is necessary for the development or security of the platform.
7. GEOS Academy
The GEOS Academy is part of the WorkChain platform and aims to help users gain knowledge about self-employment, compliance and the principles of the GEOS certification.
The Academy consists of multiple modules. Each module concludes with an assessment.
To successfully complete a module, the user must achieve the minimum required score as displayed within the Academy.
If a user does not pass an assessment, it can be retaken. There is currently no maximum number of retakes.
WorkChain reserves the right to adjust the content of the Academy, modules, assessments and assessment criteria at any time to safeguard quality, currency and compliance with laws and regulations.
8. GEOS certification
After successfully completing the GEOS Academy, the user may qualify for a GEOS certificate.
The GEOS certificate is issued by WorkChain and constitutes proof that the user has successfully completed the certification programme.
The GEOS certificate is only valid for the period of validity determined by WorkChain.
WorkChain reserves the right to impose additional conditions on the issue, renewal, recertification, suspension or revocation of a certificate.
Obtaining a GEOS certificate does not mean that the Dutch Tax Administration (Belastingdienst), UWV, a court or another government authority will automatically qualify a working relationship as an independent contractor engagement.
The certificate constitutes supporting evidence within the business file, but offers no guarantee of a specific legal or tax qualification.
9. WorkChain Payments
For processing payments, WorkChain works with Rootline and, where applicable, other affiliated payment service providers.
To use WorkChain Payments, a user may be asked to create a payment account and complete a verification process.
The processing of payments, identity verification and KYC checks take place under the terms of Rootline or the relevant payment service provider.
WorkChain itself does not process identity documents or complete KYC documentation.
If a payment account is rejected, suspended or terminated by Rootline or another payment service provider, WorkChain may restrict the use of payment features until the verification has been successfully completed.
10. Invoices
Via WorkChain, users can create, manage and send invoices.
The user remains solely responsible at all times for:
- the accuracy of the invoice
- the description of the work performed
- the amounts stated
- the VAT applied
- the tax treatment of the invoice
- compliance with applicable laws and regulations
WorkChain only facilitates the creation, sending and management of invoices and is not a party to the agreement between user and client.
11. Platform fee
For every payment processed via WorkChain Payments, WorkChain may charge a platform fee.
The amount of this platform fee is determined by WorkChain and may depend on the services offered.
WorkChain reserves the right to change the amount of the platform fee. When WorkChain changes the platform fee, users will be informed in advance.
If a user does not agree to a change of the platform fee, the user can stop using WorkChain before the change takes effect.
12. Responsibilities of the user
The user is responsible for the correct use of WorkChain.
The user declares that:
- all information provided is accurate, complete and up to date
- he acts exclusively on his own behalf or on behalf of an authorised business
- no misleading or inaccurate information is provided
- applicable laws and regulations are complied with
- WorkChain is not used for fraudulent, unlawful or misleading purposes
The user remains fully responsible for all actions that take place via his or her account.
13. Prohibited use
The user may only use WorkChain for lawful purposes and in accordance with these Terms and Conditions.
Among other things, it is not permitted to:
- provide inaccurate, misleading or fraudulent information
- create invoices for work that has not been performed
- use WorkChain for money laundering, fraud or other criminal offences
- circumvent or disrupt the security of WorkChain
- distribute harmful software, viruses or scripts
- use the login credentials of other users
- use automated software, bots or scraping tools without the prior written consent of WorkChain
- infringe the intellectual property rights of WorkChain or third parties
- use WorkChain in a way that may cause damage to the platform or other users
In case of suspected misuse, fraud or a violation of these terms, WorkChain may take immediate measures, including temporarily or permanently restricting or terminating access to the platform.
14. Availability of the platform
WorkChain strives to keep the platform available as much as possible.
However, WorkChain does not guarantee that the website, mobile application or other services will be available at all times without interruption, error-free or in full.
WorkChain may perform maintenance, install security updates, change features or temporarily take parts out of service when this is necessary for the continuity, security or further development of the platform.
WorkChain is not liable for damage resulting from temporary unavailability of the platform.
15. Intellectual property
All intellectual property rights relating to WorkChain rest exclusively with WorkChain B.V. or its licensors.
This includes, among other things:
- the software
- the mobile application
- the website
- the WorkChain name
- the logo
- the corporate identity
- the GEOS Academy
- learning materials
- videos
- texts
- images
- certificates
- documentation
- designs
- databases
It is not permitted to copy, distribute, modify, sell or otherwise commercially exploit parts of the platform without the prior written consent of WorkChain.
16. Liability
WorkChain provides its services with care and attention.
However, WorkChain is exclusively a digital platform that supports users with, among other things, certification, invoicing and payments.
WorkChain does not guarantee that:
- a user will be regarded as a self-employed professional by the Dutch Tax Administration (Belastingdienst)
- a client will pay an invoice
- a user will obtain assignments
- a GEOS certificate guarantees a specific legal or tax outcome
To the extent permitted by law, any liability of WorkChain is limited to direct damage resulting from intent or deliberate recklessness on the part of WorkChain.
WorkChain is not liable for, among other things:
- indirect damage
- consequential damage
- loss of profit
- loss of revenue
- missed assignments
- reputational damage
- business interruption
- loss of data
- damage resulting from decisions of government authorities
- damage caused by third parties
If WorkChain is liable, this liability is limited to the amount paid out in the relevant case by WorkChain's liability insurance. If no payout takes place, the liability is limited to the total amount of platform fees the user has paid to WorkChain in the twelve months preceding the event causing the damage.
17. Indemnification
The user indemnifies WorkChain against claims by third parties arising from:
- inaccurate information provided by the user
- unlawful use of WorkChain
- violation of these Terms and Conditions
- violation of laws and regulations
- disputes between users and clients
- tax obligations of the user
18. Termination of the account
A user can stop using WorkChain at any time.
WorkChain may temporarily suspend or permanently terminate an account when:
- these Terms and Conditions are violated
- there is fraud or misuse
- deliberately inaccurate information is provided
- the security of the platform is at risk
- legal obligations require this
Termination of an account does not release the user from existing payment or legal obligations.
Invoices and administrative records may be retained for as long as legally required.
19. Privacy
When using WorkChain, personal data is processed.
WorkChain processes personal data in accordance with the Privacy Policy and the Cookie Policy.
By using WorkChain, the user acknowledges having taken note of these documents.
20. Changes to these Terms and Conditions
WorkChain may change these Terms and Conditions from time to time.
When a change has material consequences for users, WorkChain will inform users in a timely manner via the website, the mobile application or by email.
The most recent version of the Terms and Conditions is always available via the WorkChain website.
21. Applicable law and competent court
These Terms and Conditions are governed exclusively by Dutch law.
Disputes arising from or related to these Terms and Conditions will, to the extent permitted by law, be submitted to the competent court in the Netherlands.
